Terms of Service (SaaS)
Agreement between Pro Beauty World (pbw.life) and the beauty professional
1. Parties and definitions
- Provider: Pro Beauty World (pbw.life), eenmanszaak (sole proprietorship) — KvK (Chamber of Commerce) 42107799, VAT ID (btw-id) NL005498975B56. VAT-exempt under the Dutch small-business scheme (KOR).
- Professional / Customer: the beauty professional (ZZP/eenmanszaak or company) who subscribes to pbw.life.
- Service: the pbw.life booking, scheduling, deposit and notification platform.
- End client: a person who books an appointment with the Professional.
2. The service
pbw.life provides SaaS booking software: a public booking page, calendar and schedule management, deposit collection (via the Professional's own Mollie account), notifications, and record-keeping. The Professional can set per service whether it takes place at the client's location or at the Professional's own location; a fixed salon or premises is not a requirement for using the Service. [REVIEW: feature list per plan.]
3. Subscription, trial and fees
- 14-day free trial. A payment method is set up at signup through a one-off €0.01 mandate payment with Mollie; the subscription fee is not charged during the trial. If you do not cancel before the trial ends, the paid period starts automatically under that mandate.
- Plans and prices as shown at signup (Founding / Solo / Pro / Plus).
- Pro Beauty World is a sole proprietorship (eenmanszaak) that is VAT-exempt under the Dutch small-business scheme (KOR); the listed price is the total, with no VAT added. VAT may become applicable once the KOR turnover threshold is exceeded. [REVIEW: VAT treatment once the KOR threshold is exceeded.]
- SaaS subscription billing is handled via Mollie. [REVIEW: billing cycle, proration, price-change notice, exact founding-member terms.]
4. The Professional's responsibilities
- Provide accurate business identity (incl. KvK number) and keep it current.
- Comply with all laws applicable to their business, including the GDPR/AVG for their end clients' data. pbw.life acts as processor for that data; see the Data Processing Agreement in section 6.
- Set lawful deposit and cancellation policies and honour them with end clients.
- Maintain their own Mollie account and KYC for receiving deposits.
5. Payments to the Professional (deposits)
Deposits paid by end clients settle to the Professional's own Mollie account. pbw.life does not hold client funds. Payment processing terms are governed by the Professional's agreement with Mollie. Mollie acts as an independent controller for payment data. [REVIEW.]
6. Data protection
pbw.life processes end-client personal data asprocessor on the Professional's behalf. Mollie acts as an independent controller for payment data. See also ourPrivacy Policy.
No final Data Processing Agreement has been published yet. It will be provided before your subscription is activated and must be agreed separately at that point; only then does it form part of these terms. To see the draft, emailinfo@pbw.life. [REVIEW: have the Data Processing Agreement reviewed by counsel and published, then replace this paragraph with a direct link.]
7. Availability, support and liability
pbw.life aims for high availability but does not guarantee uninterrupted service. pbw.life is not liable for the quality of the beauty services the Professional provides to end clients. [REVIEW: availability/SLA targets, support scope, limitation of liability and indemnities — to be drafted by counsel.]
8. Term, suspension and termination
[REVIEW: term, notice period, suspension for non-payment, data export/deletion on termination, and the effect on the Data Processing Agreement — to be drafted by counsel.]
9. Changes to the terms
We may update these terms. [REVIEW: change-notification mechanism and how acceptance is obtained.]
10. Governing law and disputes
These terms are governed by the laws of the Netherlands. Disputes will be resolved by the competent Dutch court. [REVIEW: forum selection.]
